Job description

Under the authority of the Head of the Legal Strategic Projects & Corporate Restructuring Division and the Group Legal Officer, the corporate lawyer will deal with the legal aspects of corporate activity and will analyse various strategic and corporate files from a legal point of view, taking into account the problems specific to the Dexia Group and adopting a risk management approach.
 
As certain legal issues arise within Dexia's subsidiaries and branches based abroad, the in-house lawyer will have to work closely with these entities.
 
He/she will be involved in the following areas:

Company Law, M&A

  • Within the context of sales/closures/creations of structures or assets or sales/acquisitions of shareholdings in Belgium and abroad
  • Drafting deeds, negotiating, due diligence

Transactions / Agreements

  • Legal support within the context of restructuring or disinvestment projects, in collaboration with other internal departments
  • Reviewing and monitoring agreements concluded by Dexia

Litigation

  • Monitoring and reporting on litigation, particularly contractual matters

Other

  • Coordinating and monitoring relations with law firms.
     

Profile 

We are seeking our future staff member from among graduates with a Bachelor's Degree in Law with at least 5 years' experience in a bank and/or a business law firm.
A good knowledge of the financial sector and the regulatory environment of the banking sector is required.
Files, documentation and exchanges are in French and English, so we are seeking bilingual candidates. Knowledge of Dutch would be an advantage.
Finally, we are seeking candidates who are proactive, good time-keepers, accurate and have the ability to manage diversified files.

Within the Company Secretarial Services, the lawyer/head of company secretarial services will manage the governance of the Dexia Group (Shareholders' Meetings, Boards of Directors, Special Committees, etc.).
He/she will analyse various files from a legal point of view, taking Dexia's issues into account and adopting an approach based on risk management.
As certain legal issues arise within subsidiaries and branches, the legal officer/head of company secretarial services will have to work closely with these entities. He/she will intervene in the following areas:
General Secretariat / Company Law
• Management of the secretariat / Group company law
• Within the context of disposals/closures/structure creations or disposals/taking holdings
• Drafting deeds, official publications 
Transactional / Contracts
• Legal support within the context of restructuring or divestment projects, in collaboration with other internal departments
• Reviewing and monitoring contracts concluded by Dexia
Miscellaneous
• Coordinating and monitoring relations with law firms.

Profile sought:

We are seeking candidates with a Master's Degree in Law, and at least 5 years' experience in a bank or law firm.
A good knowledge of the financial sector and the regulatory environment of the banking sector is essential for the position.
An ability to manage diversified files, proactivity, autonomy, respect of deadlines and accuracy are the qualities required to perform the tasks entrusted.
Fluency in French, English and Dutch is expected.
